“Sauran” Solar Power Plant Construction Project with an Energy Storage System (Turkestan Region) Legal support in preparing the investor’s legal position during the negotiation of the Investment Agreement between: Sauran Solar Power LLP and the Government of the Republic of Kazakhstan.
Project scope:
Prepared legal justifications for the investor’s position;
Analyzed comments from government authorities regarding the investment agreement;
Supported the negotiation strategy;
Drafted legal opinions and legal assessments;
Analyzed the legislation of the Republic of Kazakhstan, investment law, and international law. The project was implemented as part of international cooperation between the Republic of Kazakhstan and the People’s Republic of China in the field of renewable energy.

Aktas Energy Project — International Corporate and Investment Structuring Comprehensive legal expertise of the Subscription Agreement between:

Conducted an analysis of the application of the law of England and Wales;
Prepared legal opinions regarding LCIA international arbitration matters;
Analyzed the enforcement risks of arbitral awards in Kazakhstan;
Structured financing mechanisms and share capital increases;
Prepared legal opinions on international corporate law matters. The project involved the implementation of an energy project with the participation of international investors and multinational energy corporations.

Astana Green Energy Holding Ltd. Project (AIFC) Legal support for the incorporation of a project company within the jurisdiction of the Astana International Financial Centre to implement a 1 GW wind power plant construction project with an energy storage system. Project scope:
Drafted Articles of Association under AIFC law;
Prepared the Subscription Agreement and Shareholders Agreement;
Supported the corporate structuring of foreign investors;
Analyzed the compliance of corporate documentation with the requirements of AIFC law and the law of England and Wales;
Prepared bilingual corporate documentation (English/Russian). The project is being implemented with the participation of international energy companies and foreign investors.
